Issue and Manage Warrants

When you need to grant warrants to investors, advisors, or other stakeholders, Cake's warrant management feature lets you track these instruments alongside your equity holdings and see their impact on your fully diluted cap table.

Warrants give holders the right to purchase shares at a set price, and keeping accurate records is essential for cap table integrity:

  • Centralized tracking – Manage warrants alongside shares, options, SAFEs & convertibles

  • Full lifecycle management – Issue, exercise, lapse, duplicate warrants as needed

  • Automatic cap table impact – See how warrants affect your fully diluted ownership structure

  • Optional vesting schedules – Apply time-based vesting to warrants when appropriate

  • Stakeholder visibility – Warrant holders can view their holdings in My Cake (Cake's stakeholder portal)


To issue a warrant:

  1. From the main menu, navigate to Ownership > Cap Table.

  2. Click on the Warrants tab.

  3. Click the Add button.

  4. In the create offers screen, complete the warrant details:

    • Add Warrant holder – Select or add the stakeholder holding the warrant

    • Equity for each Warrant holder – Enter the number of warrants held

    • Share class – Select which share class the warrant can be exercised into

    • Exercise price – Set the price per share the warrant can be converted at

    • Warrant vesting (optional) – Check the box to apply a vesting schedule

    • Set a default warrant expiration type:

      • Time-based expiry – Set number of months until expiration from issue date

      • At a date – Choose a specific expiration date

      • None – No expiration date

    • Auto-lapse options (if applicable):

      • Send notification 30 days before expiration

      • Auto-lapse the warrants at expiration date

  5. Review the warrant details in the Preview the offer panel on the right.

  6. Click Save draft to save your changes.

  7. To finalize the warrant, click the Issue button next to the warrant holder's name.

  8. In the Issue warrant pop-up:

    • Select the issue date for the warrant

    • Choose whether to invite the holder to view their holdings in Cake Portfolio (optional)

    • Upload the signed warrant agreement (optional but recommended for record-keeping)

  9. Click Grant to complete the issuance.
