How do I add a share transfer to my Cap Table?

There are two ways of adding a share transfer transaction to your Cap Table -

Method 1: Send the transfer for signing in Cake.

  1. Head to the Ownership tab in the main menu

  2. Select Transfers from the dropdown menu.

  3. Click + Start new transfer and follow the prompts

  4. After you have set up the new transfer 'group', click View details

  5. Head to Contracts and attach the Share Transfer Form. N.B. this form will auto-populate with the shareholders details when you send out the document so you do not need to enter their information into the form manually. Approve the document when you are happy with it. If you would like to use your own share transfer form, reach out to the customer success team using the chat πŸ’¬

  6. Under the Transfers List, click + Add Transfer and add in the details of the share transfer including transferor and transferee entity details, number of shares and amount paid on the transfer.

  7. When you are ready to send out the share transfer form to both parties, click on Send. They will now both receive a Share Transfer Offer, which they can review and sign through their Investor Portfolio. Both parties will be required to confirm their shareholding entity details before either party can sign the transfer form.

  8. After both parties have executed the agreement, you can Confirm Payment and Finalise. This will prompt you to issue updated Share Certificates for both parties.

Method 2: Record an existing transfer in Cake

If you simply just want to record the share transfer on your Cap Table (ie. you have finalised the transfer offline), this is the suggested method.

  1. Head to Ownership from the main menu

  2. Select Transfers from the drop down menu

  3. Click Add historical transfer

  4. Enter in the share transfer details where prompted including transferor and transferee entity details, number of shares, amount paid on the transfer and date of the transfer.

  5. Finalise by clicking Transfer.
