How do I Bulk Upload my Cap Table and Stakeholder Information?

This article will take you through how to get your share registry imported into your Cake account in bulk

Uploading offers one by one is so last year... Thankfully in Cake, we have a function to help tackle this tedious problem!

Follow the steps below to upload your Share Registry (Cap Table) yourself in bulk, or send it to us and we'll upload it for you - for free!

Here are the steps bulk upload either your full share registry or just the stakeholder contact information:

UPLOADING YOUR SHARE REGISTRY πŸ’Ό ✨

Use this method if you're looking to set up your share registry with minimal shareholder contact details (just name & email!) and include the full transaction history!

  1. Head to Advanced mode -> Cap Table-> Shareholders on the left-hand toolbar and select Upload from spreadsheet

  2. Select Import Existing File -> Next

  3. Download the Bulk Upload Template by selecting Download Template

  4. This will take you to a 'View Only' file, so in the top Left click File -> Make a Copy -> Name your file -> and then select 'Make a Copy' a final time

  5. Use the template information as a guide (but delete it before you import your file into Cake!). Fill out the template with the details of your share registry including -

    • Shareholder name & email (don't worry - nothing will be sent to your investors yet!);

    • Transaction type - ie. issue, transfer or buy-back (share splits & share conversions can be added manually into the platform - see here for how to add a share split or here for how to add a share conversion);

    • Share type - COM will be the default share class for US companies, ORD for all others. You can add a new share type directly in your account and then use it in the bulk upload file.

    • Transaction date

    • Number of shares

      • Note for transfers - for the transferor, add a '-' before the number and the transferee should be a positive number;

      • Note for buy backs - enter as a positive number

    • Total amount invested

      • Note for transfers - both the transferor and the transferee should be a positive value. This should be the amount paid on the transfer.

      • Note for buy backs - this should be a positive value. This should be the amount the shares were bought back for.

  6. Now you have imported the correct information, you can download the file as a CSV. Head to the top left File -> Download -> Comma Separated Values (csv)

  7. Head back to your Cake account and select Import Existing File to drag and drop the CSV or use the Copy and Paste and simply copy all the relevant rows & columns from the template and paste them into the empty box in Cake. Follow the prompts to upload the CSV file, and then ensure all of the information is correct before selecting Import.

    NOTE: If any transactions come up highlighted in red, assess the problem (i.e. missing shareholder type etc.) -> either edit in the Cake platform directly in the outlined cells, or go back to your Bulk Upload File -> fix the changes -> re-download the CSV file -> follow the steps to upload again

UPLOADING STAKEHOLDER CONTACT DETAILS ONLY πŸ™‹πŸ“§

  1. Head to Company -> Stakeholders on the left-hand toolbar and select Bulk Upload

  2. Select Download Template and then open the file

  3. This will take you to a 'View Only' file, so in the top Left click File -> Make a Copy -> Name your file -> and then select 'Make a Copy' a final time

  4. You can proceed to delete the template information that is in the file in the 'Shareholders' tab, and fill it out with your company's information

  5. Now you have imported the correct information, you can download the file as a CSV. Head to the top left File -> Download -> Comma Separated Values (csv)

  6. Then head back to your Cake account and select Upload Contacts. Follow the prompts to upload the CSV file, and then ensure all of the information is correct before selecting import

    NOTE: If any transactions come up highlighted in red, assess the problem (i.e. missing shareholder type etc.) -> go back to your Bulk Upload File -> fix the changes -> re-download the CSV file -> follow the steps to upload again
