Available Contract Templates

Cake provides pre-built legal templates for your equity management and fundraising processes. Templates are drafted by legal partners across multiple jurisdictions and can be customized to suit your company.

Equity plan templates

Cake's built-in plan templates cover option plans only. RSA and RSU plans don't have built-in templates, so you'll need to supply your own documents. You can upload them to Cake and send them for signing in the same way. See How to Upload a Custom Option Grant Template.

  1. Go to Equity plans and select Options.

  2. Click View pool on the relevant plan.

  3. Scroll to the Contracts section.

Available templates:

  • Plan Rules: the terms and conditions of your option plan

  • Offer Letter or Grant Letter: the individual offer sent to each employee

  • Exercise Notice: the notice a holder completes when exercising their options

  • Shareholders Resolution: shareholder approval documentation

  • Directors Resolution: director (or board) approval documentation

  • Board Approval (US only): board approval for new option grants

Fundraising templates

You select a fundraising template when you add the agreement. Add a SAFE, convertible note, or custom note from the Cap Table, save it as a draft to send for signing, then choose Cake's free template or one you've uploaded previously. See Issue and Manage SAFEs & Convertible Notes.

Available templates:

  • SAFE agreement: standard SAFE agreement

  • Convertible note agreement: convertible note terms

Cake doesn't provide a subscription agreement template (also called a share subscription or investment agreement). These are completed outside Cake. Once signed, you can upload the document to store it with your records, see Upload and Share Documents.

Share Certificate template

  1. Go to Documents → Templates.

  2. Find the Share Certificate template in the list.

This template controls the layout and company details shown on all share certificates you issue.
