Transfer Shares Between Parties

Transfer shares between existing shareholders or to new parties using Cake's transfer management system. Choose from sending transfer documents for electronic signing or recording completed transfers.

Which method should I use?

  • Method 1: Need documents signed? Use electronic signing for new transfers

  • Method 2: Transfer already done offline? Just record it in your cap table

Method 1: Send Transfer for Electronic Signing

Best for: Transfers requiring formal documentation and electronic signatures

  1. Start the Transfer Go to OwnershipTransfers and click + Start new transfer

  2. Set Up Transfer Group Follow the prompts to create your transfer group, then click View details

  3. Prepare Documentation

    • Navigate to Contracts and attach the Share Transfer Form

    • The form auto-populates with shareholder details when sent

  4. Add Transfer Details Under Transfers List, click + Add Transfer and enter:

    • Transferor (seller): Current shareholder selling shares

    • Transferee (buyer): New shareholder buying shares

    • Share Class: Select the type of shares being transferred

    • Number of Shares: Shares being transferred

    • Amount Paid: Purchase price for the transfer

  5. Send for Signing Click Send to email transfer documents to both parties. They'll receive offers to review and sign through their stakeholder portal.

Method 2: Record Completed Transfer

Best for: Transfers already completed offline with documentation finalised outside of the platform - just need recording in your cap table in Cake

  1. Go to OwnershipTransfers and click Add historical transfer

  2. Enter Transfer Details

    • Transferor and Transferee: Select or add parties to the transfer

    • Share Class: Select the type of shares being transferred

    • Number of Shares: Shares being transferred

    • Amount Paid: Purchase price

    • Transfer Date: When the transfer was completed

  3. Click Transfer to add the transaction to your cap table

What Happens Next

Completed transfers update your cap table automatically. Both parties' shareholdings reflect the changes, and you can issue updated share certificates if needed.
