Accept an Offer to Invest

Here's how to accept an investment offer through Cake -

Once you have received an investment offer, it is now ready to be reviewed and accepted. To commence this process, you will need to locate an email from Cake that contains a link to view the offer. The subject line will be [Company Name] - Offer to Invest. Click the 'View Offer' link at the bottom of this email.

  1. Create an account with Cake using your registered email address.

    IMPORTANT: You must sign up using the same email address that the offer email was sent to. If after signing up you are asked to create a company, you have used the incorrect email address.

  2. After you have created your Investor Portal account with Cake, from the main menu on the left hand side, click 'Offers'. Your Raise Offer will be displayed on this page.

  3. Click the 'View Raise Offer' button.

  4. Click 'Confirm your investment'. The first step is to confirm the investment amount is correct. If this needs to be updated, reach out to the company you are investing in and ask that they edit your investment offer in their account.

  5. Then click 'Enter your details' in the bottom right corner. Enter the investing entity details in the fields provided. It is important to update the investing entity details in this step to ensure they populate in the investment document correctly. Select the 'Type' of investment entity you would like to invest from. This refers to the legal owner of the shares. As an example, if you have a trust and you are the trustee then select 'Individual' from the dropdown. If there are two or more trustees then you would select 'Joint' from the dropdown. And finally if the trustee is a company, then you would select 'Company' from the dropdown. The same selections apply if there is no trust involved. See the bottom of this article for more tips on how to complete your personal details.

  6. Once your personal details have been added, click 'Sign contract' in the bottom-right of the pop-up screen to complete. This will open the Subscription Agreement / SAFE Note Agreement / Convertible Note Agreement in DocuSign. You can download this for further review before signing.

  7. Once you have reviewed the agreement, and any supporting documents, electronically sign where prompted and click 'Finish' in the top right corner of the page. It is important you click Finish for your signature to be added to the document. If the investing entity is a company, the second signer will receive a DocuSign signature request via email after the first signer has executed (i.e. they will not need to login to Cake to sign).

  8. The company directors will now receive an email to countersign the agreement, after which you will be displayed the Bank Details in your offer to transfer the funds. Once the company has received your money the payment status will update to Paid.

  9. The Company will now issue the shares and you will be able to see your new investment in the Portfolio section. You can also download your share certificate and subscription agreement from the Documents section. From there, you can log in at anytime to view your shareholding, view and download documents and investor updates shared with you through Cake.

Adding Stakeholder Details

For Individual Investors

  • Full Name. Enter your full name including any middle names. Don't shorten anything. As an example don't write 'James M Hansen' instead write 'James Morris Hansen'.

  • Held in Trust? Select 'Yes' if the you are using a trust or self managed super fund to hold the shares or if you are holding the shares on behalf of someone else.

  • Trust Name. Enter the name of the trust, self managed super fund or beneficial owner.

  • Trust Identifier. Enter the Trust ID of the trust or self managed super fund. To avoid confusion we advice you to add the Trust ID as trusts can have very similar names.

  • Email. Enter your email address. This will be used for any communication and as the login email for your Cake account.

  • Phone. Enter your phone number.

  • Address. We use Google address autocomplete. Start writing the address in the 'Street' field and select the correct address when it appears. Sometimes, google will remove the unit number when you select the address from the dropdown. You can solve this by entering the unit or apartment level into the 'Unit/Floor/Other' field.

For Joint Investors

  • Name. Enter the full name of both shareholder including any middle names. Separate the names of the two shareholders with an ampersand symbol (&). As an example, you should write 'James Morris Hansen & Michelle Morris Hansen'.

  • Held in Trust? Select 'Yes' if you are using a trust or self managed super fund to hold the shares or if you are holding the shares on behalf of someone else.

  • Trust Name. Enter the name of the trust, self managed super fund or beneficial owner.

  • Trust Identifier. Enter the Trust ID of the trust or self managed super fund. To avoid confusion we advice you to add the Trust ID as trusts can have very similar names.

  • Email. Enter the email address of the primary investor. This will be used for any communication and as the login email for your Cake account.

  • Phone. Enter your phone number.

  • Address. We use Google address autocomplete. Start writing the address in the 'Street' field and select the correct address when it appears. Sometimes, google will remove the unit number when you select the address from the dropdown. You can solve this by entering the unit or apartment level into the 'Unit/Floor/Other' field. (If the shareholders have different addresses please contact us)

For Company Investors

  • Name. Enter the name of the company.

  • Company identifier. Select the company identifier type. Select β€˜Other’ if the shareholder is an overseas company.

  • Company identifier number. Enter the company identifier number.

  • Held in Trust? Select 'Yes' if you are using a trust or self managed super fund to hold the shares or if you are holding the shares on behalf of someone else.

  • Trust Name. Enter the name of the trust, self managed super fund or beneficial owner.

  • Trust Identifier. Enter the Trust ID of the trust or self managed super fund. To avoid confusion we advice you to add the Trust ID as trusts can have very similar names.

  • Address. We use Google address autocomplete. Start writing the address in the 'Street' field and select the correct address when it appears. Sometimes, google will remove the unit number when you select the address from the dropdown. You can solve this by entering the unit or apartment level into the 'Unit/Floor/Other' field.

  • Company Contact Person. Enter the name of the primary contact person in the company that is investing.

  • Email. Enter the email address for the primary contact person at the company. This will be used for any communication and as the login email for your Cake account.

  • Phone. Enter the phone number of the primary contact person in the company.

  • Company Signer 1 & 2: Enter the details of the signing parties for the investing entity. Ensure that the first signer is the same as the Company Contact Person.
