You can send out the investment documents for signing directly through Cake or have them signed outside of Cake and settle the offer 'offline'.

Own Documents

If you are using your own documents to be signed outside of Cake follow these steps below:

1. Within the 'Tools' section on the left-hand side, select 'Raise (SAFE)' click See details of the raise, and click '+ Add Offer'

2. Add the investor and their committed amount where prompted and click 'Add stakeholder'

3. Under the Offer list, Click 'More' on the right hand side of the offer and select 'Settle offline'

4. Confirm the committed amount and upload the executed investment document

5. Once the investor has paid, update the payment status

6. Issue share certificate (This will add investor to your Cap table)

Cake's Contract Template

If you are using Cake's contract templates and would like them to be signed outside of Cake follow the steps below:

  1. Within your Raise, click '+ Add Offer'

  2. Add the investor and their investment amount where prompted and click 'Add Investor'

  3. Click 'Invite' (this won't send them anything!)

  4. Stop at the Document Preview, right-click on the document, and 'Save As'

  5. Exit out of the window before proceeding with inviting the investor

  6. After the document has been fully executed, click 'More' on the right-hand side of the offer

  7. Select 'Settle Offline'. You will see a link to upload the executed investment document at this point too.

A couple of important points to consider in this approach -

  1. Ensure the investing entity details are correct before saving the document preview as they will be inserted into the agreement as they appear in Cake. Head here for instructions on how to edit contact details.

  2. You will need to manually date the agreement after it has been executed. This is auto-populated when you send out the agreement through Cake.
