What template documents are available?

What stock option & raise template documents can I use on Cake?

There are a number of templates documents available for you to use through Cake if you are looking to set up an employee stock option plan or are commencing a capital raise.

Not only are there template documents available, but these can also be sent out for signing to your employees and investors directly through your Cake account. The software will generate customised agreements for each individual, which can then be sent for execution! Saving so much time and $$ getting documents drafted with your lawyers ๐Ÿ™Œ

As we continue to expand Cake's offering to different jurisdictions around the world, we have worked with various legal partners across the globe to ensure we have templates suitable for each country! If you have your own templates already drafted by your own lawyers, it's likely we may also be able to get these set up in your account so you can still use Cake to send them out for signing! Just get in touch with our CS team and we'll make sure they're compatible with the contract engine.

You can see a full list of the available templates on Cake by heading to Documents --> Templates.

Here's how to set them up!

Employee Stock Option Plan templates

Head to Options / Stock Options (under the Equity tab) and create your option pool. This can just be in draft format for the time being, all fields can be edited after setting up the pool up until you want to send your offers.

Now that we have our Global Teams add-on (not sure what this is? check it out here), your option pool will have a list of countries that have been set up so far - there will just be the one to begin with, if you have employees in other countries that you are looking to include in your option plan, drop us a message through the chat and we'll send through some info on how Cake can help!

On the relevant country, click on View details. You should see a Contracts section on the next screen, where you'll see -

  1. Plan Rules

  2. Offer Letter

  3. Shareholders Resolution (click Add Contract Template to attach)

  4. Directors Resolution (click Add Contract Template to attach)

Raise

Whether you are doing an Equity, SAFE or Convertible Note raise, Cake has the relevant investment document available as a template. To access any of these three documents, under the Equity tab, head to Raise (SAFE) and set up your capital raise.

This can also be in draft format for the time being, so you can go back and edit the raise details after the initial set up until you start adding raise offers.

  1. Subscription Agreement - choose 'Equity' when prompted to specify 'Raise Type' - N.B. not currently available for US ๐Ÿ‡บ๐Ÿ‡ธ

  2. SAFE Note Agreement or ASA (if in the UK!) - choose 'SAFE Notes' or 'ASA' when prompted to specify 'Raise Type'

  3. Convertible Note Agreement - choose 'Convertible Notes' when prompted to specify 'Raise Type'

Once you have created your raise, jump into the Contracts tab in your raise and attach the template!

To access the Share Certificate template, head to Documents --> Templates. See here for further instructions on how to ensure the Share Certificate template is set up correctly.
