Process a Share Buy-back or Repurchase
When your company needs to repurchase shares from a shareholder (such as when someone leaves the company), you can process the transaction directly through Cake.
Process the Buy-back
Go to Ownership → Cap table → Shareholders
In the top right corner, click Actions
Choose Buy back or Repurchase from the dropdown menu (terminology varies by region)
Complete the transaction details:
Shareholder: Search for and select the relevant shareholder
Share Type: Choose the share class being repurchased
Date: Enter the buy-back transaction date
Number of Shares: Specify how many shares the company is repurchasing
Amount Paid: Enter the total amount paid for the shares
Click Buy back or Repurchase to complete the process
Important Notes
For Australian Companies: This process updates your cap table in Cake but doesn't automatically file with ASIC. You'll need to separately submit the required forms to ASIC.
Share Ownership: The repurchased shares are removed from the shareholder's holdings and returned to the company, reducing the total number of shares outstanding.
What Happens Next
The transaction appears in your cap table under Ownership → Transactions log, and the shareholder's holdings are automatically updated. You can generate updated share certificates if needed.
