Understanding the stakeholder details page

Open any stakeholder and you’ll see four tabs: Holdings, Contact details, Documents and Transactions. This article covers what each shows, and what every number on the Holdings tab means.

The Holdings tab

It opens with a summary of what this stakeholder owns.

  • Undiluted shares - shares currently issued to them

  • Total securities - every security they hold. Shares, options, RSUs, RSAs and warrants, as if fully vested and exercised. Unconverted SAFEs and notes are excluded

  • Ownership (undiluted) - their share of the company based on issued shares only

  • Ownership (diluted) - their share once all options, RSUs, RSAs and warrants convert

  • Cost basis - what they paid for the holdings they hold today, minus any shares repurchased or transferred out

Outside the US you’ll also see Paid up capital, the original amount paid to the company on these shares, and Total unpaid, what’s still owing.

Below the summary, an equity breakdown chart splits their holdings by type. Under that sits a table for each instrument they hold: share classes, founder vesting, options, RSUs, ESS, warrants, SAFEs, convertible notes and custom notes. A table only appears if they hold that instrument.

The other tabs

  • Contact details - their contact information, stakeholder type, employee ID, role, level, comments, and the Lists they’re in. Company holders also show their signers

  • Documents - everything shared with them. Upload more or download what’s there

  • Transactions - the full history behind each holding
