What documents do you need to migrate my Cap Table?
Here is everything worth gathering before you move your Cap Table to Cake. Some of it we use to build the Cap Table, some of it you will upload yourself afterwards, but it is easier to pull it all in one go while you still have access to your current platform.
Your stakeholders
Full legal name and email address for every shareholder, option holder and note holder. Names need to be consistent across your files so records link to the right person.
Your Cap Table history
Every share issue, transfer and buyback, with share class, share count, issue date and price paid. Historical transactions, not just the current position.
You will also need the list of share classes your company uses, for example Common or Series A Preferred, since these are set up in Cake before shares are imported and the names need to match.
Your other instruments
Whatever applies to you:
SAFEs, with valuation cap, discount and any conversion detail
Convertible notes, including interest rate and maturity date
Stock option grants, with strike price and grant date
RSUs, RSAs and share plans
Warrants
Your vesting schedules
Full schedules for anything mid-vest, including any milestone vesting. A vested total on its own is not enough to rebuild the schedule.
Your signed paperwork and reports
Executed share and grant agreements
Signed SAFEs and convertible note agreements
Board consents and resolutions
Previous 409A valuation reports
Your equity incentive plan documents, including any Notice of Grant, Stock Option Agreement and Equity Incentive Plan
What we use, and what you add yourself
The first four sections are the data we need to build your Cap Table. Send those across and our Customer Success team does the rest.
Your signed paperwork and reports are not needed for the build. You add them yourself once your account is live, from Documents → All documents. If you already keep them in a Drive or a document store, that is fine, upload straight from there. If they only exist inside your current platform, download them before you close your account, since report exports do not include them.
If you are coming from another platform
You do not need to assemble this by hand. Most platforms export the data in a few reports. From Carta, three reports cover it, see How do I export my Cap Table from Carta?.
If you are coming from a spreadsheet
Send us what you have. If you would rather do it yourself, Cake's bulk upload template has a tab for each instrument type. Column order is detected automatically, so you do not need to rearrange anything as long as the column names match.
What happens next
