Process a Share Buy-back or Repurchase
Record a share buy-back or repurchase when your company acquires shares from a shareholder, for example, when a founder or employee leaves and unvested shares are returned.
Process the buy-back
Go to Cap Table and select the Shareholders tab.
Click Actions in the top right corner.
Select Buy back or Repurchase from the dropdown. (The term varies by region, both lead to the same form.)
Complete the transaction details:
Shareholder: Search for and select the relevant shareholder
Share type: The class of shares being repurchased
Date: The buy-back transaction date
Number of shares: How many shares the company is repurchasing
Amount paid: The total amount paid for the shares (enter 0 if no consideration)
Click Buy back (or Repurchase) to save.
If the stakeholder is part of an Incentive Plan, e.g. they hold RSAs, you should off-board them under Incentive Plans to handle the repurchase of any unvested shares.
What happens next
The repurchased shares are removed from the shareholder's holdings immediately. The total number of shares outstanding is reduced, and the transaction is recorded in Cap Table → Transaction logs. You can generate updated share certificates if needed.
